A sponsor representative acts as an intermediary between companies seeking listing and the China Securities Regulatory Commission (CSRC), serving as the company's delegate to guarantee and recommend its listing to the CSRC. The responsibilities of sponsor representatives include assisting listing applicants with their applications, conducting thorough reviews and disclosures of relevant documents, and assuming corresponding liabilities. Operating under the principles of openness, fairness, impartiality, standardization, and voluntariness, sponsor representatives must conduct business strictly within the scope approved by regulatory authorities and may not exceed authorized business boundaries. On November 24, 2014, the administrative approval for sponsor representative qualifications was abolished with State Council approval.
To further strengthen the self-regulatory management of sponsor representatives, promote integrity and due diligence, and continuously enhance professional competence and practice quality, the Securities Association of China (SAC) established a categorized list mechanism for sponsor representatives pursuant to the Securities Companies Sponsorship Business Rules. This mechanism publishes:
- List A: Sponsor Representatives (Comprehensive Practice Information)
- List B: Sponsor Representatives (Institution-Validated Category)
- List C: Sponsor Representatives (Penalty and Disciplinary Category)
Categorization principles:
- Presence of negative practice reputation information within the validity period;
- Whether professional competence evaluation test results meet baseline requirements.
The categorized lists cover the following:
- Comprehensive Practice Information List: Displays practice information for all sponsor representatives, categorized based on the presence of adverse integrity information within the validity period and whether professional competence evaluation test results meet baseline requirements.
- Institution-Validated List: Includes sponsor representatives whose professional competence evaluation test results fall below baseline requirements but are validated by their institutions. Displays validation materials, test score ranges, and practice information.
- Penalty and Disciplinary List: Includes sponsor representatives subjected to CSRC administrative regulatory measures, industry self-regulatory disciplinary actions, or self-regulatory management measures within the last three years. Displays penalty/disciplinary details and practice information.
